By using our website, you accept these terms and conditions in full. If you disagree with these terms and conditions or any part of these terms and conditions, you must not use our website.
Equatelier Limited ("Equatelier") use of Service ("Conditions") - registered number 11178871, incorporated and registered in England and Wales, whose registered office is at Suite 3, 46 Kneesworth Street, Royston, Herts SG8 5AQ;
These Conditions apply to all Services ordered from or provided to you by Equatelier and by requesting Services from Equatelier you agree that these conditions shall apply to those Services and your order.
1. DEFINITIONS AND INTERPRETATIONS
1.1 In these Conditions, the following definitions apply:
Client: a person who uses the Services provided by, and makes a monetary transaction with, Equatelier.
Conditions: these terms and conditions as amended from time to time in accordance with Clause 10.
Offer: means the benefit, added value element or preferential rate made available to Clients by Suppliers.
Pre-Payment Fee or Pre-Payment Package: means the fee payable by the Client to Equatelier for pre purchasing a certain number of hours of Service time in bulk for Equatelier to carry out Services tailored to the Client’s needs upon acceptance of Service, in accordance with Clause 3.
Request: means a request placed by a Client with Equatelier for Equatelier to arrange the supply of goods and/or services from a third party on the Client's behalf.
Service: means the lifestyle and personal assistant Services provided by Equatelier to its Clients as part of the Fee paid
Subscription Fees or Subscription Package: means the advance monthly fees payable in respect of Equatelier Services
Supplier means a supplier engaged by or partnered with Equatelier on behalf of and as agent for a Client to provide goods and/or services to that Client.
Website: means the website located at www.equatelier.com.
1.2 In these Conditions, the following rules apply:
(a) any phrase introduced by the terms including, include, in particular or any similar expression, shall be construed as illustrative and shall not limit the sense of the words preceding those terms; and
(b) a reference to writing or written includes e-mails.

2. USE OF SERVICE WITH EQUATELIER
2.1 You are obliged to provide correct personal details when you apply for any Services of Equatelier. Failure to do so may result in rejection of Service and any subsequent transactions. Your responsibility to provide accurate information is a continuing obligation and you must notify Equatelier promptly in the event that any information provided by you in connection Equatelier changes.
2.3 If you require Equatelier to travel, travel will be at an additional cost and You are expected to pay for the travel in advance. Equatelier do not have to travel if payment has not been received.
2.4 On standard subscription services, the 5 hours per week are non-transferable to the following week. This cannot be taken as an average but to be used in that week unless agreed with Equatelier in advance.
3. FEE'S, SUBSCRIPTION RENEWALS AND CANCELLATIONS
3.1 Any fees required for you to use the Service of Equatelier shall be made clear to you prior to use of Service and commitment of transaction.
3.2 Any Pre-Payment Fees will be required to be paid in advance of any Service commencing.
3.3 For any Subscription Fees, Fees payable shall be required to be paid upon invoice immediately or by direct debit. Once a direct debit is set up, the payment will automatically be deducted from your account on the same date as the first payment. Failure of payment shall result in no Service provided by Equatelier.
3.4 Any increase or decrease to any Fees for subsequent years will be notified to all Clients in advance of any Subscription Fee renewal or re-purchase of Fee related to Services provided by Equatelier.
3.5 Any fee payment made to Equatelier is non-refundable and non-transferable between Clients. You understand and agree that Equatelier will complete the request to the best of their ability and that they are to provide suitable alternative solutions if the request is not feasible to complete. The fee provided is for the time taken to action the task.
3.6 You acknowledge that your payment of either Subscription Fee or Pre-Payment Fee constitutes your express request for us to begin to supply you with the Services.
3.7 Should Equatelier see fit to increase your fee due to the level of Service/demand being higher than expected, Equatelier are in the right to do so. Equatelier will not increase your Fee unless pre-agreed with you
3.8 Equatelier reserves the absolute right to cancel or suspend any Fee Services where it has reason to do so. If Equatelier cancels the Services provided, where is reasonable to do so Equatelier shall refund the balance of the any Fee on a pro rata basis.
3.9 Subscription Fees are due on acceptance of Service and on the renewal date. Equatelier reserve the right to charge the client the current Subscription Fee on the renewal date if the Client does not request to cancel their subscription. A one month notice has to be given in order to cancel a renewal payment.
3.10 Equatelier will be paid by direct debit, credit or debit card which you have authorised us to deduct such payment from in accordance with the relevant invoice.
3.11 Where you have provided us with details of a payment card or have authorised a direct debit mandate, you hereby expressly authorise Equatelier to deduct collect Fees on your renewal date.
3.12 If you do not wish to continue using the Equatelier Service you must notify Equatelier at least 30 days prior to your next payment date. If you are on a monthly Subscription payment and would wish to move onto a By The Hour offering, this will still require a 30 day notice for the change to come into effect.
3.13 Equatelier reserve the right to refuse to provide the Services should any payment due under these Conditions not be received.
3.14 Equatelier will not act as a credit agent, whereby payment is required to purchase goods from a third party supplier on your behalf. You are responsible for providing Equatelier with the funds prior to any third party payment being made.
3.15 Any Subscription Fees or Pre-Purchase Fee’s are on a per person basis, no more than one person can use the Service per subscription or Fee package.
3.16 All invoices should be paid with an immediate effect, a late charge will be made after 7 days of a value of up to 100% of the value on the invoice, to be paid on top.
4. SUPPLY OF SERVICES
4.1 Equatelier shall supply the Services to the Client during the Fee period in accordance with the Client's particular Requests, provided that Equatelier shall not be required to provide or facilitate the supply of goods and/or Services that it deems at its sole discretion may violate applicable laws, standards and/or regulations or may offend taste and decency in the relevant jurisdiction.
4.2 Equatelier shall use its reasonable endeavours to meet any performance dates specified, but any such dates shall be estimates only and time shall not be of the essence for performance of any Services.
4.3 Equatelier shall have the right to make any changes to the Services which are necessary to comply with any applicable law or safety requirement, or which do not materially affect the nature or quality of the Services, and Equatelier shall notify the Client in any such event.
4.4 Services will be provided in English.
4.5 Outside normal business working hours (Monday to Friday 9am – 6pm excluding bank holidays) or as may otherwise be required from time to time, Equatelier can defer the business to be done the following business working day.
4.6 You acknowledge that Equatelier reserves the right to accept commissions or referral fees upon the supply of products or performance of services by any Supplier.
4.7 Telephone calls to Equatelier may be monitored or recorded for training and quality control purposes.
4.8 Equatelier shall provide the Services using reasonable care and skill and, as far as reasonably possible, in accordance with your Requests and reasonable instructions from time to time.
4.9 You acknowledge that any services provided by Suppliers or any other business referred to You through the Equatelier Service are managed separately from Equatelier.
4.10 You acknowledge that all suppliers and agent partners Equatelier uses to support providing Services upon your request (who shall be the seller in respect of third party transactions) shall have their own terms and conditions and that you are held responsible to read.
4.11 Equatelier is not responsible for any payments such as refunds required from third party suppliers or agents to the Client.
4.12 Clients acknowledge and accept that Equatelier will not be held liable for any services provided by or any outcome from a service provided by any third party Supplier. Services provided by Suppliers are separate to Equatelier and You agree to using those services provided by the Supplier in the form of accepting the recommendation and / or placing a booking with the Supplier.
4.13 Health and Wellness Suppliers (such as but not limited to Nutritionists, Health Advisors, Personal Trainers and Gym Instructors):
(a) You acknowledge that any referrals made to any Supplier within the above categories are within your agreement and Equatelier is not liable for any services provided by these Suppliers for any reason.
(b) You agree that you are a private individual at least 18 years old and are present in the United Kingdom at the time you use the Service and service provided by these suppliers.
(c) The medical or health advisory services in respect of the Health Advisors and Private GP’s are provided by the relevant medical professional you book a consultation with. Not by us. Our role and responsibility is limited to listing details of professionals, their services, and arranging bookings and in some instances, managing payment.
(d) Equatelier cannot be responsible for late arrival or cancellation fees, or for the quality of care they provide.
(e) Equatelier is not intended to be an emergency service and we cannot guarantee that any medical professional including a doctor will be available to visit you. If you believe that you require urgent medical care, we advise you to call the emergency services (999) immediately.
(f) Equatelier is not a medical practice and do not provide the medical related services. Therefore, Equatelier will not be made aware of, receive or store any medical related data discussed between you and the medical specialists.
4.14 Other Lifestyle Related Request Handling:
(a) When you use the restaurant booking Service you hereby authorise us to debit your Payment Card for any deposit paid by us on your behalf to the restaurant which is forfeited as a result of your cancellation of the booking.
(b) When you use the restaurant booking Service you agree that where you cancel a restaurant booking within 24 hours of the time the restaurant reservation is made you shall not be entitled to any refund of any monies paid to secure the booking including the return of any booking deposit.
(c) Equatelier reserves the right to deny restaurant requests from Clients if Clients repeatedly fail to honour their bookings or continuously violate cancellation policies.
(d) Admission of Clients to any club premises is at all times at the sole discretion of the club. Supplier and Equatelier shall have no liability where a Client is refused admission to a club.
(e) Equatelier may be able to obtain "best tickets" for you in relation to sold out events through one of its ticket agent partners. Please note that by instructing Equatelier to obtain such tickets on your behalf you are agreeing to purchase tickets above face value and the total cost may include a service charge to Equatelier in respect of our provision of Services to obtain the seats for you. Equatelier is not the seller of the tickets.
(b) Equatelier or its ticket agent partner will despatch your tickets through delivery agents at standard rates and when the tickets become available. Please note that Equatelier shall not be liable for any failure by delivery agents to deliver your tickets.
4.15 Home Related Requests
(a) Equatelier will not be held liable for any damages caused by third-party suppliers/contractors
(b) All third-party costs will be chargeable in addition to your fee
(c) Late payment charges relating to us or third-party suppliers will be fully chargeable at the usual bank of England rates to the client
(d) You, the client, acknowledge that if you request a representative of Equatelier to enter your property, Equatelier shall in no way either directly or indirectly, be liable for any deficiency, loss or damage to the premises, the fixtures, fittings or contents thereof, however caused. The client and property owner undertake to indemnify Equatelier against all costs and expenses properly incurred by them.
5. PLACING A REQUEST
5.1 Clients may place Requests by telephone, text messages, WhatsApp, e-mail or through the Website.
5.2 Equatelier, acting reasonably, reserves the right to withdraw any of the Services and/or to refuse to accept any Requests at its sole discretion.
5.3 If Equatelier is unable or not obliged to deal with any Request, it will inform the Client as soon as reasonably practicable.
5.4 You undertake that all details you provide to us for the purpose of booking, ordering or purchasing products or services are correct, that the debit, credit and/or Payment Card you use from time to time is your own and that you have sufficient funds to cover the cost of the product or service.
5.6 From time to time the procurement or provision of certain Services, products or Offer may incur a Equatelier Services fee or handling charge (of which you will be notified in advance) and in such event you hereby authorise Equatelier to debit your Payment Card with any such handling charges or, alternatively, to invoice you in respect of such fees or charges.
6. CANCELLATIONS, REFUNDS AND RETURNS
6.1 The Client acknowledges that the sales contract for the supply of goods and/or Services made as a result of a Request is between the Client and the relevant Supplier and that Equatelier is not a party to such contract. Cancellation of contracts with Suppliers should be addressed with the Supplier directly and will be subject to the relevant Supplier's policies.
6.2 If a Request for a specific product or service is not available, Equatelier may offer you substitute products or services of a similar description and standard. You may at your sole discretion refuse acceptance of such substitute products and/or services and request a full refund in the event that payment has already been made to the Supplier for the unavailable product or service.
6.3 Payment for all products and services shall be due immediately upon acceptance of the order by the relevant Supplier.
6.4 The Client further acknowledges that for goods purchased on his or her behalf by Equatelier directly from a Supplier, returns and exchanges will be subject to the terms and conditions of that Supplier and returns or exchange of goods purchased may not always be permitted. Equatelier shall not be liable to the Client where a Supplier does not accept the return or exchange of an item.
6.6 It shall be the Client's sole responsibility to retain all proof of return of goods to a Supplier, we recommend returning the goods by registered delivery, or by any other similar means of ascertaining the date of the return dispatch and tracking the return.
6.7 We will inform you when we become aware that a refund of an order has been processed by a Supplier.
6.8 Where orders are delivered outside the EU, any applicable customs duties and sales taxes shall not be refundable through Equatelier. It shall be the Client's sole responsibility to recover such monies. Equatelier shall have no liability for any items held by any customs or border agency.
6.9 In the case of premium courier services, if the Client is not at the specified Delivery address to receive their Order at the scheduled time, the Client may incur further charges for subsequent attempts to re-deliver the goods.
7.1 Suppliers are responsible for providing you with the services, products and offers you request us to order on your behalf from time to time. Equatelier shall communicate with Suppliers on your behalf unless it is more appropriate for you to contact the Supplier directly.
7.2 Suppliers may impose their own terms and conditions which, in every case apply to the supply of goods and/or services by that Supplier to you, and such terms and conditions shall be binding upon you at the time of order.
7.3 When ordering a product or service or accessing an Offer, you may be required to provide your Payment Card details. If you request and authorise Equatelier to use your Payment Card in order to pay a Supplier for products or services, you acknowledge and agree that Equatelier shall have no liability or be responsible in any way whatsoever in respect of the use of your Payment Card provided that Equatelier acts in accordance with the instructions issued by you in relation thereof.
7.4 You acknowledge that the Offers are subject to availability and may change from time to time without notice.
7.5 If Equatelier's performance of any of its obligations under these Conditions is prevented or delayed by any act or omission by the Client or failure by the Client to perform any relevant obligation (Client Default):
(a) Equatelier shall without limiting its other rights or remedies have the right to suspend performance of the Services until the Client remedies the Client Default, and to rely on the Client Default to relieve it from the performance of any of its obligations to the extent the Client Default prevents or delays Equatelier's performance of any of its obligations;
(b) Equatelier shall not be liable for any costs or losses sustained or incurred by the Client arising directly or indirectly from Equatelier's failure or delay to perform any of its obligations as set out in this clause 7.5; and
(c) the Client shall reimburse Equatelier on written demand for any costs or losses sustained or incurred by Equatelier arising directly or indirectly from the Client Default.
8. LIMITATION OF LIABILITY
8.1 Nothing in these Conditions shall limit or exclude Equatelier's liability for:
(a) death or personal injury caused by its negligence, or the negligence of its employees, agents or subcontractors;
(b) fraud or fraudulent misrepresentation; or
(c) breach of the terms implied by section 2 of the Supply of Goods and Services Act 1982 (title and quiet possession).
8.2 Subject to clause 8.1:
(a) Equatelier shall not be liable to the Client, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any loss of profits, loss of business, depletion of goodwill and/or similar losses, loss of anticipated savings, loss of goods; or, loss of contract, or loss of use or, loss of corruption of data or information whether direct or indirect or, any special, indirect, consequential or pure economic loss, costs, damages, charges or expenses arising under or in connection with their Clientship; and
8.3 Your contract for the supply of products or services is made with the relevant Supplier only. Equatelier acts as an agent for the Supplier and, unless expressly provided otherwise, all your rights and remedies are against the Supplier.
8.4 You acknowledge that any contract entered into by you with any Supplier is an independent contract. Equatelier hereby disclaims any and all liability for any act or omission of any Supplier or any loss incurred by you as a result of any act or omission of a Supplier whether or not arranged through the Equatelier.
8.5 Equatelier shall have no liability to you for any loss, damage, costs, expenses or other claims for compensation arising from Requests or any instructions supplied by you which are incomplete, incorrect or inaccurate or arising from their late arrival or non-arrival, or any Client Default.
8.6 Equatelier shall not be liable to you or be deemed to be in breach of these Conditions by reason of any delay in performing, or any failure to perform, any of Equatelier's obligations in relation to the Services, if the delay or failure was due to any cause beyond Equatelier's reasonable control.
9. COMMENCEMENT AND TERMINATION
9.1 These Conditions shall take effect and be binding upon the Client and Equatelier Limited. These Conditions shall be applicable throughout the use of the Services provided and Fees paid by the Client to Equatelier and shall only cease to have effect upon the expiry or termination of use of Service. You agree that your only rights and remedies under these Conditions shall be against Equatelier Limited and no other entity.
10. MARKETING AND INTELLECTUAL PROPERTY
10.1 Equatelier will always obtain permission from You, via an opt in method as a client of Equatelier to proactively send any material that is relevant or related to you using the Service.
10.2 If a client of Equatelier decides they no longer wish to receive proactive material from Equatelier, they would need to inform Equatelier of this via email/in writing and Equatelier will adhere to this request.
10.3 The use of any Intellectual Property from Equatelier, including but not limited to website content, imagery, brand documents by a third party is forbidden unless pre-authorised by the Director of Equatelier in writing, upon request.
11.1 Privacy and Data Protection:
11.2 Assignment and subcontracting:
(a) Equatelier may at any time assign, transfer, charge, subcontract or deal in any other manner with all or any of its rights under these Conditions and may subcontract or delegate in any manner any or all of its obligations under these Conditions to any third party or agent.
(a) A waiver of any right under these Conditions is only effective if it is in writing and shall not be deemed to be a waiver of any subsequent breach or default. No failure or delay by a party in exercising any right or remedy under these Conditions or by law shall constitute a waiver of that or any other right or remedy, nor preclude or restrict its further exercise. No single or partial exercise of such right or remedy shall preclude or restrict the further exercise of that or any other right or remedy.
(b) Unless specifically provided otherwise, rights arising under these Conditions are cumulative and do not exclude rights provided by law.
(a) If a court or any other competent authority finds that any provision of these Conditions (or part of any provision) is invalid, illegal or unenforceable, that provision or part-provision shall, to the extent required, be deemed deleted, and the validity and enforceability of the other provisions of these Conditions shall not be affected.
(b) If any invalid, unenforceable or illegal provision of these Conditions would be valid, enforceable and legal if some part of it were deleted, the provision shall apply with the minimum modification necessary to make it legal, valid and enforceable.
11.5 Variation: Equatelier may vary these Conditions from time to time and will notify you of any changes in a timely manner. Notification will be by some or all of the following: Equatelier Newsletter, the Website, by Email or by phone. Your continued use of the Service constitutes acceptance of such variations to these Conditions.
11.6 No partnership: Nothing in these Conditions is intended to, or shall be deemed to, constitute a partnership or joint venture of any kind between any of the parties, nor constitute any party the agent of another party for any purpose. No party shall have authority to act as agent for, or to bind, the other party in any way.
11.7 Third parties: A person who is not a party to these Conditions shall not have any rights under or in connection with it.
11.8 Governing law and jurisdiction: These Conditions, and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims), shall be governed by, and construed in accordance with, English law, and the parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales.

We may collect and process the following information that you provide to us when you sign up to Equatelier and become a client or fill out any forms on our Site or payment pages (full name, email, phone number, address, interests and request details). You acknowledge that, where purchasing our services, you may be required to submit "sensitive" personal information (such as information regarding your physical condition or payment / card details) and consent to our processing of such information in accordance with this privacy promise;
We may collect, use, store and transfer different kinds of personal data about you which we have grouped together follows:
Identity Data includes first name, maiden name, last name, username or similar identifier, marital status, title, date of birth and gender.

In withdrawing your consent, you acknowledge that we may not be able to provide or continue providing certain goods and/or services to you and that we may cease such provision accordingly without any liability. Please note that it may take up to 30 working days for any request for consent withdrawal to be reflected in our systems.

Although we will do our best to protect your personal data, you acknowledge that we cannot guarantee the security of data you send over the internet and that you send your information at your own risk.
We will retain your information for as long as you use our products or services and it is necessarily required or relevant for business or legal purposes.
